Training Course Syllabus:
This session will focus on the emergence of the Application Service Provider “outsource" service model.
The session will be prefaced with an introduction to ASP as a solution and explanation of the ASP “continuum”. The introductory session will be followed with an in-depth look at building an ASP contract template.
The bulk of the session will focus on the key terms and conditions for inclusion in a form ASP agreement. The format presented addresses an application service provider solution of moderate complexity, requiring some implementation and customization services, acceptance testing and intermediate security measures due to data privacy concerns. While this agreement differs from a Web site hosting agreement or a complex outsourcing
agreement in some respects, its core concepts regarding due diligence, implementation services, license/use rights, testing, data security, transition assistance and service level guarantees are applicable to web-based solutions generally.
Special attention will be paid to statutory data security requirements. The afternoon session will involve a discussion of the impact of Gramm-Leach-Blily and Sarbanes-Oxley on doing business via the Web.
